Strictly Kitchen + Bath
Wholesale / Pro Account Agreement
By applying for, accessing, or placing orders under a Wholesale / Pro Account with Strictly Kitchen + Bath (“SKB”), you agree to the following terms and conditions:
1. Account Approval
Wholesale and Pro accounts are subject to review and approval at SKB’s sole discretion.
SKB reserves the right to:
- Approve or deny any application
- Request additional documentation
- Adjust account tier or pricing level
- Suspend or revoke wholesale privileges at any time
Approval does not guarantee ongoing eligibility.
2. Intended Use
Wholesale pricing is extended for legitimate business purposes, including:
- Resale (Stock & Sell)
- Contractor & Trade Installations
- Project-Based Purchasing
- Commercial & Multi-Unit Developments
- Showroom Display & Sales
Wholesale pricing may not be used for personal retail purchases unless expressly authorized.
3. Pricing & Confidentiality
Wholesale pricing is confidential and may not be:
- Published publicly
- Shared with unauthorized third parties
- Used for public price matching
- Advertised below applicable MAP policies
SKB reserves the right to modify pricing at any time without notice.
4. Resale & Marketplace Restrictions
Without written authorization, wholesale accounts may not:
- Sell on Amazon, eBay, Walmart Marketplace, or other third-party platforms
- Represent themselves as an authorized distributor
- Use SKB product imagery for unauthorized resale
Violations may result in immediate termination of account privileges.
5. Orders, Cancellations & Payment Terms
Unless otherwise agreed in writing:
- Payment is due prior to shipment
- Orders cannot be canceled once processed or shipped
- Custom and special-order items are non-cancellable and non-refundable
- Bulk or pallet orders may require deposit
Cancellation Policy
A 3% cancellation fee applies to all canceled orders, including cancellations made within a 20-minute grace window.
If you place an order and later change your mind — regardless of circumstance — this fee may apply.
This cancellation fee exists because credit card processing fees:
- Are not transferred to the customer at checkout
- Are non-refundable to SKB by the payment processor
As a result, these processing costs are non-recoverable and may be passed back through a cancellation fee.
Exclusions may apply at SKB’s sole discretion.
Customers are strongly encouraged to confirm specifications, quantities, and selections carefully before completing checkout.
All sales are considered final upon shipment.
6. Shipping, Delivery & Damage Claims
All shipments must be inspected at delivery.
- Visible damage must be noted on carrier paperwork at delivery
- Concealed damage must be reported within 48 hours
- Failure to report may void freight claims
SKB is not responsible for carrier mishandling once shipment leaves our facility.

7. Returns & Restocking
Wholesale / Pro returns are subject to:
- A 30-day return window from delivery
- Store credit only (no refunds)
- Up to a 15% restocking fee
- Return shipping cost(s)
- Fees and costs are deducted from the original order amount and are the responsibility of thee account holder.
- Product must be unused, uninstalled, and in original packaging
- Return Authorization (RA) required prior to return
Do not return items without first contacting SKB. Unauthorized returns will be refused.
Non-returnable items include:
- Custom or made-to-order products
- Special finishes
- Clearance or discontinued items
- Installed or used products
- Bulk or pallet orders unless approved
- Returns outside of return window.

8. Warranty
Product warranties apply as outlined in product documentation.
Warranty does not cover:
- Improper installation
- Commercial abuse
- Modification
- Surface wear from improper care
- Hard water or environmental damage

9. Installation Responsibility
Wholesale / Pro account holders assume responsibility for:
- Proper installation
- Code compliance
- Structural support
- Plumbing compatibility
- Product suitability verification
SKB is not liable for installation errors or related damages.
10. Limitation of Liability
SKB shall not be liable for:
- Labor costs
- Removal or reinstallation
- Project delays
- Loss of profit
- Indirect or consequential damages
Maximum liability shall not exceed the purchase price of the product.
11. Chargebacks & Payment Disputes
Initiating a chargeback without first contacting SKB constitutes a violation of this Agreement.
If a chargeback is filed:
- The account may be suspended or terminated
- Warranties may be voided
- The account holder agrees to reimburse SKB for all chargeback fees and administrative costs
- Outstanding balances may be sent to collections
Fraudulent or abusive chargebacks may result in legal action.

12. Governing Law
This Agreement shall be governed by the laws of the State of Michigan.
Any non-arbitrated legal action shall be brought exclusively in Michigan courts.
13. Dispute Resolution & Binding Arbitration
Any dispute arising from this Agreement or product purchase shall be resolved through binding arbitration in the State of Michigan.
Arbitration shall:
- Be conducted by a single arbitrator
- Follow American Arbitration Association rules
- Be final and binding
By agreeing to these terms, the account holder waives:
- Trial by jury
- Participation in class actions
This clause survives account termination.
14. Severability
If any provision is deemed unenforceable, the remaining provisions remain in effect.
